We are seeking a highly organised, commercially minded, and detail-oriented Corporate Lawyer & Board Secretary to join our team in Accra. The successful candidate will provide sound legal guidance, support corporate governance, manage board-related processes, and help the organisation navigate regulatory and legal requirements effectively. Key Responsibilities Legal & Corporate Advisory Provide timely and practical legal advice on corporate, commercial, regulatory, and operational matters. Review, draft, negotiate, and advise on contracts, agreements, memoranda, and other legal documents. Identify potential legal and regulatory risks and recommend appropriate measures to protect the company’s interests. Monitor changes in relevant laws, regulations, and industry requirements and advise management on their potential impact. Support the development and review of company policies, procedures, and governance frameworks. Advise management and relevant teams on legal obligations arising from business activities and commercial relationships. Support dispute resolution activities and coordinate with external legal counsel where necessary. Maintain accurate and confidential records of legal matters, agreements, and corporate documentation. Board Secretariat & Corporate Governance Act as the primary secretariat support for the Board of Directors and relevant Board committees. Coordinate Board and committee meetings, including preparing agendas, meeting notices, Board papers, and supporting documentation. Attend Board and committee meetings and prepare accurate minutes, resolutions, and action points. Maintain statutory registers, corporate records, Board documentation, and other governance records. Track Board resolutions and follow up on agreed actions to ensure timely implementation. Support the company in meeting corporate governance, statutory, and regulatory obligations. Coordinate the preparation and filing of relevant corporate and statutory documents with regulatory authorities. Provide guidance to the Board and management on corporate governance practices and responsibilities. Maintain confidentiality and exercise sound judgement when handling sensitive corporate and Board information. Risk & Compliance Support the implementation of effective legal, regulatory, and corporate governance controls. Assist management in identifying, assessing, and mitigating legal and compliance risks. Conduct legal and regulatory reviews where required and provide clear recommendations. Promote a culture of compliance, accountability, and responsible corporate governance across the organisation. Qualifications & Experience Must be a qualified and licensed Lawyer with the relevant professional standing to practise in Ghana. Minimum of two (2) years’ relevant professional experience in corporate law, commercial law, legal advisory, company secretarial practice, or a similar role. Demonstrated knowledge of corporate governance, contracts, regulatory compliance, and commercial legal matters. Strong understanding of Board procedures, corporate records, and statutory requirements will be an advantage. Excellent legal drafting, research, analytical, and negotiation skills. Strong written and verbal communication skills. Excellent organisational skills with a high level of attention to detail. Ability to manage confidential information with discretion and integrity. Ability to work independently while collaborating effectively with management and other stakeholders. Previous experience working with a software or technology company will be an added advantage.
